End User License Agreement

The Software is licensed, not sold

We own the Software and related intellectual property. You receive a limited license to use it — not ownership. Open-source components included with the Software remain under their own licenses (see our Licenses page).

License grant

If you pay the applicable fee (or receive a valid free license where offered) and follow this EULA, we grant you a non-exclusive, non-transferable license to install and use the Software for your personal or internal commercial production work.

Seats and machines

Unless your order says otherwise, one standard license includes:

• 1 user (one person).
• Installation on up to 3 computers you control (for example desktop, laptop, and home machine) — not for concurrent use by multiple people on one license.
• You may deactivate a device from your account to free a slot for another machine.

Blender and Houdini editions

UAL for Blender is offered under GPL-3.0-or-later. Your rights under GPL apply to that edition in addition to this EULA where they apply.

UAL for Houdini is proprietary commercial software. You may not treat it as open source or redistribute it except as expressly allowed here or in writing from us.

What you may not do

Except where mandatory law allows, you may not:

• Share, sell, rent, or sublicense the Software or your license key.
• Circumvent license or activation checks.
• Reverse engineer the Software except to the limited extent mandatory law requires.
• Remove proprietary notices.
• Use the Software to offer a competing hosted asset-browser service to third parties.
• Use online source features in violation of third-party terms.

Online source features

Online connectors are optional. They depend on third parties we do not control. Your license to the Software continues even if we change or remove a connector. That change alone is not a breach of this EULA and does not by itself create a refund right (see our Refund Policy).

Updates

We may provide updates, fixes, or new versions at our discretion. Updates included with your purchase are covered by this EULA. We are not obligated to provide updates forever or to keep every online integration working.

Activation

The Software may contact our license servers to validate your license using your account, license key, and device identifier. If validation fails after any grace period, features may be limited until activation succeeds. Details are in our Privacy Policy.

Refunds

Refunds are governed by our Refund Policy. In summary: you may request a refund within 7 days of purchase if the Software has not been substantially used and the license has not been activated, subject to the policy.

Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE USE, OR COMPATIBILITY WITH EVERY HOST APPLICATION VERSION OR ONLINE SOURCE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER THIS EULA IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENSE GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR THIRD-PARTY ACTIONS AGAINST YOU.

Termination

This EULA ends if you breach it or if you stop using the Software and destroy your copies. On termination you must stop using the Software. Third-party assets you already downloaded remain under those providers' licenses.

Governing law

This EULA is governed by the laws of India. Subject to mandatory consumer rights, courts in Jaipur, Rajasthan, India have exclusive jurisdiction.
